In accordance with the terms and conditions of the service available called UPSOLD, and by using the Service, you agree with the contents of this Agreement. Please carefully manage your ID and password. |

If you have registered your ID with us, it is your responsibility as a user to manage your ID and password. You are responsible for all activities using the ID and password, as a user and owner of the ID and password. Should your ID was used without your permission, or if your information on the ID and password leaked to a third party, please contact us, Magic Image Inc. (UPSOLD) immediately. Furthermore, if you want to temporarily quit the service, please log out each time. We are not responsible for any leakage of your ID and password, or any damages resulting from abuse of such ID and password. |

Contents changes, etc. |

In the event that Image Magic, Inc. (UPSOLD) considers necessary, we may change, suspend or discontinue the contents of the Service at any time without notifying you. Image Magic, Inc. (UPSOLD) shall bear no responsibilities for the users, even on the occasions where changes, suspension or discontinuation occur to the contents of the Services. |

Registered ID might be deleted. |

In the event that Image Magic, Inc. (UPSOLD) considers necessary, we reserve the right to delete the user ID, password, account or remove the contents of the Services. Image Magic, Inc. (UPSOLD) shall reserve this right, including but not limited to, at its own discretion, on any violation of the contents of the terms and conditions of this Agreement. |

Image Magic, Inc. (UPSOLD) may cancel the services for such particular user for future use, delete such information and shall be able to prohibit access to files and services. Image Magic, Inc. (UPSOLD) shall bear no responsibility for such users and third parties, concerning the suspension of the Services. |

Governing Law, Jurisdiction |
|
Governing Law for this Agreement shall be the laws of Japan. All disputes between The Magic Image, Inc. and the user, relating to this Agreement or the Services (UPSOLD) shall be determined in accordance with the Tokyo District Court. |
